Acceptance of Terms
Welcome to Propiofy. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Propiofy Technologies Private Limited, a company incorporated under the Companies Act, 2013 with its registered office at [Registered Address], Mumbai, Maharashtra, India ("Propiofy", "we", "us", or "our").
By accessing or using the Propiofy platform — including our website at propiofy.in, mobile applications, APIs, browser extensions, or any other products and services (collectively, the "Services") — you agree to be bound by these Terms, our Privacy Policy, our Refund Policy, and any other policies incorporated herein by reference.
If you are entering into these Terms on behalf of a business entity — such as a real estate agency, brokerage firm, or company — you represent and warrant that you have authority to bind that entity to these Terms. In such cases, "you" and "your" shall refer to that entity.
These Terms are governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000, the Indian Contract Act, 1872, the Digital Personal Data Protection Act, 2023, and the Real Estate (Regulation and Development) Act, 2016 where applicable.

Account Registration & Eligibility
3.1 Eligibility
You must meet the following requirements to create and use a Propiofy account:
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials, including your password and OTP codes. You must notify Propiofy immediately at security@propiofy.in if you suspect any unauthorised access to your account. Propiofy will not be liable for any loss arising from unauthorised use of your account.
3.3 Account Accuracy
You agree to keep your account information — including your RERA registration number, contact details, and billing information — accurate and up to date at all times. Propiofy reserves the right to suspend accounts found to contain materially false or misleading information.
3.4 One Account Per Person
Each individual may maintain only one personal Propiofy account. Agencies and teams may maintain one account per entity. Creating multiple accounts to circumvent plan limits or enforcement actions is prohibited and may result in immediate termination of all associated accounts.
Subscription Plans & Billing
4.1 Available Plans
Propiofy offers the following subscription tiers as of the effective date of these Terms:

Prices are inclusive of applicable GST (Goods and Services Tax) at the prevailing rate. Propiofy reserves the right to revise pricing at any time by providing at least 30 days' notice to existing subscribers via email.
4.2 Billing Cycle & Auto-Renewal
Subscriptions are billed in advance — monthly subscribers on their subscription date each month, yearly subscribers on their annual renewal date. All paid subscriptions auto-renew unless cancelled at least 24 hours before the renewal date. You authorise Propiofy to charge your saved payment method on each renewal date.
4.3 Payment Methods
Propiofy accepts UPI (BHIM, Google Pay, PhonePe, Paytm), credit/debit cards (Visa, Mastercard, RuPay), net banking, and EMI options via Razorpay. By providing a payment method, you represent that you are authorised to use that payment method and that the billing information you provide is correct.
4.4 Taxes
You are responsible for all applicable taxes, duties, and levies arising from your use of Propiofy. GST invoices are generated automatically on each billing date and available in your account billing section. Where required, you may provide your GSTIN (GST Identification Number) in your account settings for B2B invoicing.
4.5 Failed Payments & Suspension
If a payment fails, Propiofy will attempt to charge the payment method again after 3 days and 7 days. If payment remains outstanding after 14 days, your account will be suspended. Suspended accounts retain all data for 60 days, after which Propiofy may permanently delete the account and all associated data. Access is restored immediately upon successful payment of outstanding amounts.
4.6 Downgrades & Upgrades
You may upgrade your plan at any time — the difference in price is prorated and charged immediately. Downgrades take effect at the end of your current billing cycle. If a downgrade would cause your usage to exceed the lower plan's limits (e.g., more listings than the Starter plan allows), you may need to manually remove excess content before the downgrade takes effect.
Acceptable Use Policy
By using Propiofy, you agree to use the platform only for lawful purposes and in compliance with these Terms. The following activities are strictly prohibited:
Propiofy reserves the right to investigate any suspected violation of this policy and to take appropriate action, including content removal, account suspension, or referral to law enforcement authorities.
Listing Data & Content
6.1 Your Content, Your Responsibility
You retain ownership of all Content you upload to Propiofy, including property photos, descriptions, pricing, and documents. However, by uploading Content, you grant Propiofy a non-exclusive, royalty-free, worldwide licence to host, store, display, reproduce, modify (for formatting purposes only), and distribute your Content solely for the purpose of providing the Services to you.
6.2 RERA Compliance
You are solely responsible for ensuring that all listings comply with the applicable RERA regulations in your state. This includes displaying mandatory disclosures, carpet area (not super built-up area unless clearly labelled), possession dates, and project registration numbers where applicable. Propiofy provides RERA fields and templates but does not audit listings for RERA compliance.
6.3 Content Removal
Propiofy reserves the right to remove any Content that, in our reasonable judgment, violates these Terms, applicable law, or third-party portal policies. We will notify you by email when Content is removed, except where we are prohibited from doing so by law or where immediate removal is necessary to prevent harm.
6.4 Photo & Media Rights
By uploading photos, videos, or other media to Propiofy, you confirm that you own the copyright in such media or have obtained all necessary licences and permissions. Propiofy will not be liable for any third-party copyright claims arising from Content you upload.
CRM & Lead Data
7.1 Your Lead Data
All lead and contact data stored in your Propiofy CRM belongs to you. Propiofy does not sell, share, or use your lead data for any purpose other than providing the Services. You may export your CRM data at any time in CSV format from your account settings.
7.2 Data Collection from Third-Party Portals
When you enable Portal Sync, leads submitted by buyers on third-party portals (such as 99acres, MagicBricks, Housing.com, and others) are transmitted to your Propiofy CRM via API. By enabling Portal Sync, you confirm that you have the right to receive and process such lead data in accordance with the privacy policies of those portals and the DPDP Act, 2023.
7.3 WhatsApp Communications with Leads
Propiofy's WhatsApp automation sends messages to leads using the WhatsApp Business API. By enabling WhatsApp automation, you represent that:
7.4 Data Retention
Propiofy retains your CRM data for the duration of your subscription and for 60 days after account termination. After this period, data is permanently deleted. If you require data beyond this period, you must export it before account termination.
Portal Sync & Third-Party Integrations
Propiofy integrates with numerous third-party services including property portals, accounting software, CRM platforms, and marketing tools. The following terms apply to these integrations:
8.1 Third-Party Terms
Your use of third-party integrations is subject to the terms and policies of those third parties. Propiofy is not responsible for the availability, accuracy, or reliability of third-party services. Before enabling any integration, you should review the relevant third-party's terms of service and privacy policy.
8.2 Portal Sync Disclaimer
Propiofy's Portal Sync feature transmits your listing data to third-party portals in real time. However, Propiofy does not guarantee that:
Propiofy will notify you of any material disruptions to Portal Sync integrations but shall not be liable for lost leads, lost revenue, or other damages resulting from third-party portal disruptions.
8.3 No Endorsement
Propiofy's listing of third-party integrations does not constitute an endorsement of those services. The mention of company names, trademarks, or platforms on Propiofy is for identification purposes only. All third-party trademarks belong to their respective owners.
WhatsApp & Communication Tools
Propiofy's WhatsApp Business API integration is provided in partnership with Meta's official WhatsApp Business Solution Providers. Use of this feature is subject to the following terms:
9.1 WhatsApp Business Policy Compliance
You agree to comply with WhatsApp's Business Policy at all times. Violations of WhatsApp's policies — including sending spam, using the API for prohibited categories, or abusing messaging limits — may result in your WhatsApp number being banned by Meta, and Propiofy shall have no liability for such bans.
9.2 Message Templates
All outbound WhatsApp messages sent via Propiofy's automation use templates that have been pre-approved by Meta. You may customise template content within the parameters allowed by Meta. Attempting to send off-template messages outside of active buyer conversations is not permitted and may violate Meta's policies.
9.3 Opt-Out Compliance
You must honour opt-out requests from leads and contacts who wish to stop receiving WhatsApp messages. Propiofy provides automated opt-out handling for drip sequences — however, you remain responsible for honouring manually communicated opt-out requests.
9.4 Email Communications
Propiofy may send transactional emails to your registered email address, including billing notifications, lead alerts, feature updates, and security notifications. You cannot opt out of transactional emails while maintaining an active Propiofy account. You may manage marketing email preferences in your account notification settings.
Intellectual Property
10.1 Propiofy's Intellectual Property
The Propiofy platform, including its software, design, user interface, graphics, logos, website copy, product features, and all underlying technology, is the exclusive intellectual property of Propiofy Technologies Private Limited, protected under Indian copyright law, trademark law, and applicable international intellectual property treaties.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Propiofy platform solely for your internal business purposes during your subscription period. This licence does not include the right to:
10.2 Feedback
If you provide Propiofy with any feedback, suggestions, or ideas about the platform ("Feedback"), you grant Propiofy an irrevocable, royalty-free, worldwide right to use, incorporate, and commercialise such Feedback without any obligation to you.
10.3 User Content Licence
You grant Propiofy a limited licence to use anonymised, aggregated data derived from your use of the platform for product improvement, analytics, and research purposes. This licence does not permit Propiofy to identify you personally or share your identifiable information with third parties except as described in our Privacy Policy.
Privacy & DPDP Act, 2023
Propiofy is committed to protecting the personal data of its users in compliance with the Digital Personal Data Protection Act, 2023 (DPDP Act) and all applicable Indian data protection laws.
11.1 Data We Collect
We collect personal data necessary to provide the Services, including your name, email address, phone number, business details, RERA registration number, payment information, property listings, CRM data, and usage data. Full details are in our Privacy Policy.
11.2 How We Use Your Data
We use your personal data to provide and improve the Services, process payments, send transactional communications, comply with legal obligations, and detect and prevent fraud. We do not sell your personal data to third parties.
11.3 Your Rights Under DPDP Act
As a Data Principal under the DPDP Act, you have the following rights:
11.4 Data Localisation
All personal data of Indian users is stored on servers located within India (AWS Mumbai region, ap-south-1). Propiofy does not transfer Indian user data to servers outside India without explicit consent and appropriate safeguards.
11.5 Data Breach Notification
In the event of a personal data breach that is likely to cause harm to you, Propiofy will notify you and the relevant authorities as required under the DPDP Act within the prescribed timeframes.
Limitation of Liability
12.1 Disclaimer of Warranties
The Propiofy platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable Indian law, Propiofy disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Propiofy does not warrant that: (a) the Services will be uninterrupted or error-free; (b) the results of using the Services will meet your specific requirements; (c) data synced to third-party portals will be error-free or accepted by those portals; or (d) the Services will be free from viruses or other harmful components.
12.2 Limitation of Liability
To the maximum extent permitted by law, Propiofy's total cumulative liability to you for any claims arising out of or relating to these Terms or the Services shall not exceed the greater of:
12.3 Exclusion of Consequential Damages
In no event shall Propiofy be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, loss of revenue, loss of leads or business opportunities, loss of data, or business interruption — even if Propiofy has been advised of the possibility of such damages and even if a remedy fails of its essential purpose.
12.4 Indemnification
You agree to indemnify, defend, and hold harmless Propiofy Technologies Private Limited, its directors, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your violation of these Terms; (b) your Content or listings; (c) your violation of any applicable law or regulation, including RERA; or (d) your use of the Services in a manner not authorised by these Terms.
Account Termination
13.1 Termination by You
You may cancel your Propiofy subscription at any time by going to Settings → Billing → Cancel Plan in your account. Cancellation takes effect at the end of your current billing period. Your account data is retained for 60 days after cancellation, after which it is permanently deleted.
13.2 Termination by Propiofy
Propiofy may suspend or terminate your account immediately and without notice if:
13.3 Effect of Termination
Upon termination: (a) all your licences to use the platform cease immediately; (b) your listings will be taken offline from your Propiofy website (though they may remain on third-party portals independently); (c) Portal Sync connections are disconnected; and (d) your CRM data becomes inaccessible pending the 60-day retention period. Propiofy shall have no liability to you for any consequences of account termination where termination was initiated due to your breach of these Terms.
Governing Law & Disputes
14.1 Applicable Law
These Terms are governed by and construed in accordance with the laws of India. In particular, they are subject to the Indian Contract Act, 1872, the Information Technology Act, 2000 and rules thereunder, the Consumer Protection Act, 2019 (where applicable), the Digital Personal Data Protection Act, 2023, and the Real Estate (Regulation and Development) Act, 2016 where relevant.
14.2 Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of the Services, the parties agree to first attempt to resolve the dispute informally by contacting legal@propiofy.in. If the dispute is not resolved within 30 days of such notice, either party may initiate formal proceedings.
14.3 Jurisdiction
Subject to mandatory provisions of applicable law, all disputes shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India. Both parties submit to the personal jurisdiction of such courts.
14.4 Consumer Protection
Nothing in these Terms limits your rights as a consumer under the Consumer Protection Act, 2019, including your right to approach the National Consumer Disputes Redressal Commission or applicable state consumer forums.
Changes to These Terms
Propiofy reserves the right to update or modify these Terms at any time. We will provide notice of material changes by:
Your continued use of the platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must cancel your subscription before the effective date.
What changed in v3.2 (June 2026)
Contact & Grievance Officer
In compliance with the Information Technology Act, 2000, the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and the Digital Personal Data Protection Act, 2023, Propiofy has designated a Grievance Officer to address concerns related to the platform, content moderation, and personal data protection.
If you have any complaints, concerns, or grievances regarding the Services — including requests relating to your personal data under the DPDP Act — please contact our Grievance Officer:
Complaints should include: your full name, registered email address, account ID, a description of the issue, and any supporting documents. We aim to acknowledge all grievances within 24 hours and resolve them within 30 days.
For data protection complaints that remain unresolved after our grievance process, you may escalate to the Data Protection Board of India once it is constituted under the DPDP Act, 2023.
